Terms of Service. How we work with you.

These Terms govern access to and use of Swimplicity websites, forms, products, services, AI voice workflows, local SEO services, CRM workflows, automations, and related offerings. Swimplicity operations, onboarding, fulfillment, automations, and support may be directly handled and processed by the Codexo team.

1. Use of Services

A. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use Swimplicity services unless you have the consent of a legal guardian.

B. Prohibited Activities

You agree not to misuse the website, forms, automations, AI systems, CRM workflows, payment flows, or services.

  • Violate applicable laws or regulations
  • Distribute malware, viruses, or harmful code
  • Attempt to gain unauthorized access to systems, accounts, records, data, or workflows
  • Use Swimplicity for fraudulent, deceptive, abusive, spam, or illegal purposes
  • Interfere with, reverse engineer, scrape, copy, resell, or misuse service systems unless authorized in writing

2. Intellectual Property

All content on the Swimplicity website, including text, graphics, logos, software, workflows, automations, AI prompts, scripts, strategy documents, reports, layouts, service processes, and related materials, is owned by Swimplicity, Codexo, or their licensors and is protected by intellectual property laws.

You may not reproduce, distribute, modify, resell, or create derivative works from Swimplicity materials without prior written permission. Client-provided materials remain the client’s property, but you grant Swimplicity and the Codexo team permission to use them as needed to provide services.

3. Payment and Fees

A. Pricing

Prices are listed in USD and may change unless otherwise agreed in writing. Any quoted pricing, subscription pricing, setup fees, usage fees, token fees, advertising spend, third-party costs, or add-ons may be subject to separate terms or service agreements.

B. Payment Terms

Payments must be made before work begins unless otherwise agreed in writing. You are responsible for maintaining accurate billing information and a valid payment method.

C. Monthly Billing, Late Fees, and Delinquency

Monthly billing must be paid on or before the due date in the applicable order form, checkout, invoice, or service agreement. If payment is not received by the due date:

  • A late fee may be applied where permitted by law or contract
  • Access to services, systems, platforms, reporting, automations, AI voice workflows, CRM assets, or deliverables may be suspended until the balance is paid
  • Past-due amounts may accrue interest where permitted by law or agreement
  • Continued delinquency may result in termination, collections, or removal from active fulfillment queues

D. Cancellations

Cancellation requests must be submitted in writing before the next billing cycle unless your service agreement says otherwise. Cancellations after a billing period has begun are not guaranteed to receive refunds, credits, or proration. Failure to properly cancel may result in continued billing.

4. Service Delivery

We work to deliver services within agreed timelines. Timelines can depend on client access, account credentials, approvals, third-party platforms, payment status, calendar availability, content approvals, and other dependencies.

Swimplicity and the Codexo team are not liable for delays caused by client delays, third-party vendors, platform outages, unavailable account access, inaccurate information, force majeure events, or circumstances outside our reasonable control.

5. Communications Consent, SMS/MMS, and AI-Based Communications

If you provide contact information and opt in through a form, intake process, scheduler, chat, service request, phone call, or other consent method, Swimplicity and/or the Codexo team may contact you by email, phone call, SMS, MMS, automated message, prerecorded message, AI-assisted message, AI-generated communication, or artificial/system-generated voice communication where permitted by law.

With your consent, communications may include:

  • Appointment confirmations and reminders
  • Service communications and onboarding instructions
  • Account notifications and support messages
  • Follow-up communications and intake completion requests
  • Marketing and promotional messages where you have consented
  • Automated, prerecorded, AI-assisted, AI-generated, or artificial voice communications where permitted by law

  • Message and data rates may apply
  • Reply STOP to cancel text messages at any time; you may receive one final opt-out confirmation
  • Reply HELP for help where supported or contact Swimplicity through the website
  • Consent to receive SMS/MMS, automated, prerecorded, or AI-based communications is not a condition of purchase
  • You represent that you are the account holder or have permission to enroll the number provided

6. Partner Sharing, Codexo Processing, and Implementation Support

Swimplicity may work with selected partners, vendors, referral partners, implementation partners, payment providers, data providers, CRM providers, communication providers, AI voice providers, SEO providers, fulfillment providers, and analytics providers.

By submitting information to Swimplicity or using Swimplicity services, you understand and agree that information you provide may be shared with partners of Swimplicity where relevant to your inquiry, account, onboarding, implementation, fulfillment, marketing, support, reporting, payment processing, or requested services.

Swimplicity is directly handled and processed by the Codexo team. Codexo personnel and Codexo-managed systems may access, process, route, update, enrich, store, and use Swimplicity account information for operations, fulfillment, automations, communications, reporting, support, and service delivery.

Partner sharing is subject to applicable law and the Privacy Policy. Mobile messaging opt-in data and consent information are handled according to the mobile messaging disclosure in the Privacy Policy.

7. Limitation of Liability

To the maximum extent permitted by law, Swimplicity, Codexo, their teams, vendors, and partners are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from your use of, or inability to use, the website or services.

To the maximum extent permitted by law, total liability for any claim will not exceed the amount paid by you for the services giving rise to the claim during the period allowed by the applicable agreement or law.

8. Termination or Suspension

We may suspend or terminate access to services, systems, deliverables, automations, AI voice workflows, CRM workflows, reporting, or support if we reasonably believe you violated these Terms, engaged in unlawful conduct, failed to pay, created platform risk, or misused services.

9. Privacy

Your use of Swimplicity is also governed by our Privacy Policy. By using Swimplicity websites or services, you consent to the collection, use, sharing, and processing of information described in the Privacy Policy.

10. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules, unless a separate written agreement states otherwise. Any disputes shall be resolved in the state or federal courts located in Georgia, unless otherwise required by law or written agreement.

11. Changes to These Terms

We may update these Terms from time to time. Changes are effective when posted. Continued use of the website or services after changes means you accept the updated Terms.
